An entity can only protect the assets it actually owns — if title to an asset is never transferred into the entity, that asset generally sits outside the protection the entity was created to provide. It’s easy for this step to get missed. A holding company gets formed, but the LLC interests it was meant to hold are never assigned to it. A new promissory note or piece of intellectual property is created and never retitled. Real property is purchased but the deed is never updated.
